Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("Client," "Merchant," or "you") and ECC11 Ventures LLC, doing business as Narrows Digital ("Narrows Pay," "we," "us," or "our"). By accessing our website, signing an order form, or using our services, you agree to these Terms.

2. Nature of Services; Not a Bank

Narrows Pay is a financial technology company. Narrows Pay is not a bank, money transmitter, or licensed payment institution. We provide:

• Payment technology integration and platform services;
• Referral and onboarding to third-party payment processors and acquiring banks;
• Advisory and consulting services related to payments architecture, optimization, and vendor selection.

Narrows Pay does not directly hold, transmit, settle, or take custody of merchant or cardholder funds. All payment authorization, clearing, settlement, and funding are performed by independent third-party processors and acquiring banks pursuant to separate merchant processing agreements between you and those parties.

3. Third-Party Processor Agreements

To accept card payments, you must enter into a separate merchant processing agreement with one or more acquiring banks and/or payment processors (e.g., Fiserv, TSYS, CardPointe, Worldnet, or others). Those agreements govern card acceptance, settlement, fees, chargebacks, reserves, and termination of processing services. Narrows Pay is not a party to those agreements and is not responsible for the actions, omissions, fees, or settlement timing of those third parties.

4. Merchant Eligibility and Underwriting

Use of payment processing is subject to underwriting approval by the applicable acquiring bank or processor. You represent and warrant that:

• You are a legally formed business authorized to enter into these Terms;
• Information you provide for KYC/KYB is true, complete, and accurate;
• You will not use the services for any prohibited business or transaction (including illegal activity, unlicensed money transmission, adult content where prohibited, or any activity restricted by card networks);
• You comply with all applicable law, card network operating regulations (Visa, Mastercard, Discover, American Express), and PCI-DSS requirements applicable to your environment.

5. Fees

Fees for Narrows Pay services are set forth in the applicable order form, statement of work, or pricing schedule. Card processing fees, interchange, assessments, network fees, chargebacks, and other costs are billed by your processor or acquiring bank under your separate processing agreement and are not controlled by Narrows Pay. We reserve the right to update our fees with prior notice.

6. Chargebacks, Reserves, and Risk

You are solely responsible for chargebacks, returns, refunds, fines, and reserves assessed by your processor, acquiring bank, or card network in connection with your transactions. Narrows Pay does not assume liability for these amounts.

7. Prohibited Activities

You agree not to use the services to:

• Process transactions that violate law or card network rules;
• Engage in money laundering, terrorist financing, or sanctions evasion;
• Misrepresent the nature of transactions to a processor or acquiring bank;
• Bypass security, rate limits, or technical safeguards of our or any third-party platform.

8. Intellectual Property

All software, documentation, designs, configurations, and materials provided by Narrows Pay are owned by Narrows Pay or its licensors and are licensed — not sold — to you for use during the term of your engagement. You retain ownership of your data; you grant Narrows Pay a limited license to use your data to provide the services.

9. Confidentiality

Each party agrees to protect the other's confidential information using at least the same care it uses to protect its own and not to disclose it except as needed to perform under these Terms or as required by law.

10. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uptime, or accuracy. Narrows Pay does not warrant the performance, availability, or settlement of any third-party processor, acquiring bank, gateway, or card network.

11. Limitation of Liability

To the maximum extent permitted by law, Narrows Pay's aggregate liability arising out of or relating to these Terms shall not exceed the fees paid by you to Narrows Pay in the twelve (12) months preceding the claim. In no event will Narrows Pay be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, or lost data, even if advised of the possibility.

12. Indemnification

You agree to indemnify, defend, and hold harmless Narrows Pay and its officers, employees, and affiliates from any third-party claims arising out of (a) your use of the services, (b) your breach of these Terms, (c) your violation of law or card network rules, or (d) your transactions, chargebacks, or refunds.

13. Term and Termination

These Terms remain in effect until terminated. Either party may terminate for material breach not cured within thirty (30) days of written notice. Narrows Pay may suspend or terminate immediately for actual or suspected fraud, illegal activity, security risk, or non-payment. Termination of these Terms does not terminate your separate processing agreement with any acquiring bank or processor.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the services constitutes acceptance.
